hi, i bought an 03 240 & had the same problem.
talk to mercedes about it & i was informed that this is how it was, the drivers headrest does not go down antmore !!
it looks ridiculous, so i took the cover off from the back of the seat (2 philip screws), removed the electric motor connector & pushed the headrest all the way down !!

Same issue in my 03 320
Goes up bit not down. What worked for me is that right after I turn the key to the on position and press down, it will move about 1/2 inch then no more. Had to do this a few times to get it down where I like it. Will need to look in to the connectors envy00100 mentioned.

I had that issue after MB replace my seat door controle switch. MB told me there was an error on the software (your seat is driven on software). They clear out the error code, now it's working like a charm.
I have an '02 E320 that I bought used and the drivers headrest would not move at all and was in the up position. When I use the button sometimes I hear clicking under the seat but after that happens a couple of times I get nothing. This got me thinking that somehow the headrest went past the point it should (I know I was reaching), to solve my issue I did the following: -
Remove the back panel to the seat, this is done using the 2 star screws underneath.
When removing the back panel be careful if you have the floor lights as the light is connected to the panel and the wires aren't too long (you should be able to set it at a 90 though while you continue.
At the top of the seat you will see the system for lowering the headrest
What I did here was to disconnect the headrest from the system, it just clips in at each end (though the left side is a bit stiffer).
Then pulling the headrest up and out the way you can push the button to go down and the system hopefully lowers, as it did for me.
Then reattach the headrest by clipping it back in and test, mine went happily up and down
Then you can reattach the back panel.
I've only just completed this so I haven't pushed the limit to see how it performs near the high end but as I'm just under 5'8" I'm not sure I'll be updating you on that.
This of course would also work if you wanted to remove headrests but why would you?
cheers!
