Engine swap / California

Engine swap / California
I have a buyer interested in my 86 560 SEL and he wants to take a Mercedes 300 engine and put it in the 560 SEL.
My engine is not in the greatest shape but the interior and body are so he wants to move up to the bigger body style with his own engine which is newer then the one in the 560 SEL.
He asked a few people at the California DMV and they said no because of the weight difference of the two models. Is that true? I've never heard of a weight issue. From what I have read, everything I have found says that as long as the engine being put in is newer then the older and it passes inspection at a referee station for smog, it is legal.
I am not a mechanic so I am not sure if this could be done even it was legal.
Any professional input would be greatly appreciated. Thanks people!!!!!
