Anyone knows if I can upgrade 97 E420 to xenon light. Is it legal to do so.

Yes you can;
an aftermarket xenon lights kit (includes two bulbs, two ballasts, and all wiring) should cost around $300-$400.

Only factory-equipped xenon lights are legal, because aftermarket kits don't have the "auto-leveling" feature.

 

thats right MioCLK. it's available as additional accessory. you need to change the whole headlamp assembly because of the stepper motor inside. and need to install level sensor and control module.
